TERMS OF SERVICE.
Agreement & Scope of Services
These Terms of Service ("Terms") govern the engagement between Codsona Digital ("Codsona", "we", "us", or "our") and any enterprise, business, or individual ("Client", "you") engaging our digital engineering, custom software development, cloud architecture, and technical consulting services.
By commissioning a project, executing a Statement of Work (SOW), paying an initial invoice/deposit, or accessing our services across codsona.com or tharindunuwantha.me, you confirm acceptance of these terms.
Project Scopes, Milestones & Change Orders
We work under agile, milestone-driven delivery frameworks designed to guarantee transparency and predictability:
- Defined Specifications: Each project is preceded by discovery, architectural definition, and clear acceptance criteria outlined in the proposal.
- Sprint Reviews & Staging Environments: Deliverables are deployed to private client staging environments for testing and acceptance before production deployment.
- Change Requests: Additions outside the agreed baseline scope are estimated separately and scheduled through documented change requests to prevent scope creep.
Intellectual Property & Code Ownership
We respect client intellectual property unconditionally. Our standard IP transfer structure operates as follows:
Upon final payment for a commissioned deliverable or project phase, all bespoke source code, database architectures, UI/UX designs, and proprietary logic developed specifically for the Client become the exclusive intellectual property of the Client.
Third-party libraries, standard open-source dependencies (e.g. React, Tailwind CSS, PostgreSQL packages), and pre-existing generic developer tooling retain their respective permissive licenses (MIT, Apache 2.0).
Invoicing, Payments & Retainers
Our payment terms are structured around clear deliverables and mutually agreed milestones:
- →Currency: Invoices are issued in Sri Lankan Rupees (LKR) or United States Dollars (USD) as designated in the agreement.
- →Milestone Structure: Projects typically follow a structured deposit (e.g., 30% upfront, milestone progress payments, and final deployment balance).
- →Payment Windows: Invoices are payable within 7 to 14 business days from date of issue unless specified otherwise.
Warranty, Quality Guarantee & Maintenance
We take great pride in our engineering precision. All standard software releases come with:
A complimentary 30-day warranty window following production launch to address any reproducible bugs or regressions directly attributable to the delivered codebase.
Long-term infrastructure management, security patching, API monitoring, and monthly retainers are available under dedicated Service Level Agreements (SLAs).
Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law:
- →Codsona is not liable for indirect, incidental, punitive, or consequential damages (including loss of business profits or data downtime) arising from third-party cloud infrastructure outages (AWS, Cloudflare, Supabase, Google Cloud).
- →Our total cumulative liability for any claim arising out of an engagement shall be capped at the total amount actually paid by the Client to Codsona for the specific project or phase in dispute.
Governing Law & Dispute Resolution
These Terms shall be construed, interpreted, and governed in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka.
In the event of any disagreement or dispute, both parties commit to attempting good-faith informal consultation and mediation before pursuing formal legal arbitration.
